A bill to amend 1993 PA 23, entitled
"Michigan limited liability company act,"
by amending section 904 (MCL 450.4904), as amended by 2000 PA
333.
THE PEOPLE OF THE STATE OF MICHIGAN ENACT:
1 Sec. 904. (1) Except as otherwise provided in this section
2 or otherwise prohibited, a professional limited liability company
3 may render provide
1 or more professional services, and each
4 member and manager shall
must be a licensed person in 1 or more
5 of the professional
services rendered provided by the company.
6 (2) If the
professional limited liability company renders a
7 provides 1 or more
professional service that is services that
8 are included within the public health code, 1978 PA 368, MCL
9 333.1101 to 333.25211,
then all members and managers each
10 member and manager of the
company shall must be licensed or
1 legally authorized in
this state to render the same professional
2 service under the public health code, 1978 PA 368, MCL
333.1101
3 to 333.25211, to render a professional service provided by the
4 company.
5 (3) A licensed person of another jurisdiction may become a
6 member, manager, employee, or agent of the professional limited
7 liability company, but shall not render any professional services
8 in this state until the person is licensed or otherwise legally
9 authorized to render the professional service in this state.
10 (4) A limited liability company may engage in the practice of
11 architecture, professional engineering, or professional surveying
12 in this state if not less than 2/3 of the members or managers of
13 the limited liability company are licensed in this state to
14 render 1 or more of the professional services offered. A
15 professional limited liability company organized under this
16 article may engage in the practice of architecture, professional
17 engineering, or professional surveying in this state if all of
18 the members and managers of the professional limited liability
19 company organized under this article are licensed in this state
20 to render 1 or more of the professional services offered.
